Section 1: Introduction & Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Wegrouped website, located at www.wegrouped.com, and the services offered through it (collectively, the "Services"), operated by "Wegrouped" ("we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy www.wegrouped.com/privacypolicy. If you do not agree to these Terms, you may not access or use the Services.
Section 2: Description of Service
Wegrouped provides an online platform designed to connect individuals seeking to form local or community-based purchasing groups ("Groups") to potentially achieve savings on goods and services. The Services also allow individuals and businesses ("Users") to submit proposals ("Proposals") within these Groups. Businesses may use the platform to connect with groups of interested customers. Wegrouped facilitates these connections but is not a party to any transaction or agreement made between Users.
Section 3: Eligibility and User Accounts
3.1 Eligibility: To create an account and use the Wegrouped Services, you must be at least 18 years old and capable of forming a binding contract. By registering for an account, you represent and warrant that you meet this age requirement. The Services are not intended for individuals under the age of 18.
3.2 Account Registration: You must register for an account to access most features of the Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.3 Account Security: You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with the above requirements.
3.4 Account Types: Wegrouped offers different account types (e.g., Personal, Business). Specific features or obligations may apply depending on your account type. You agree to accurately represent your status when selecting an account type.
3.5 Username (Nickname): Your chosen username (or nickname) must be unique and must not be offensive, misleading, or infringe on the rights of others. We reserve the right to require you to change your username or reclaim usernames in our discretion.
Section 4: User Conduct
You agree not to misuse the Wegrouped Services or help anyone else do so. You agree you will not, and will not attempt to, do the following in connection with the Services:
4.1 Prohibited Activities:

Violate any applicable law or regulation.

Post or share content that is illegal, fraudulent, defamatory, obscene, harassing, abusive, hateful, threatening, invasive of privacy, or otherwise objectionable.

Infringe upon or violate the intellectual property rights or any other rights of anyone else (including Wegrouped).

Send unsolicited or unauthorized advertising, promotional materials, spam, or chain letters.

Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

Harvest or collect email addresses or other contact information of other users from the Services by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.

Interfere with or disrupt the Services or servers or networks connected to the Services.

Introduce viruses, worms, Trojan horses, or other malicious code.
4.2 Respecting Privacy: If you receive another user's contact information (e.g., Name and Email) through accepting a proposal or unlocking contacts, you agree to use this information solely for the purpose of communicating regarding that specific proposal or group activity. You must not use this information for unsolicited marketing, add it to mailing lists without explicit consent, or share it with third parties unrelated to the proposal.
4.3 Business Conduct: Businesses submitting proposals agree to do so in good faith and to make reasonable efforts to fulfill the terms described in their proposals if accepted by users. Misrepresenting offers or capabilities is prohibited.
4.4 Wegrouped's Rights: We reserve the right, but are not obligated, to monitor interactions between users and to remove any content or suspend/terminate any account that we determine, in our sole discretion, violates these Terms or is otherwise harmful to the Services or our community.
Section 5: User-Generated Content
5.1 Your Content: You retain ownership of any intellectual property rights that you hold in the content you submit, post, or display on or through the Services, including but not limited to group descriptions, proposals, comments, files, and images ("User Content").
5.2 License Grant to Wegrouped: By submitting, posting, or displaying User Content on or through the Services, you grant Wegrouped a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with our Services), communicate, publish, publicly perform, publicly display, and distribute such User Content. This license is for the limited purpose of operating, promoting, and improving the Services, and to develop new ones. This license continues even if you stop using our Services, primarily for archival purposes or as embedded in aggregated data, unless you specifically request deletion in accordance with our Privacy Policy www.wegrouped.com/privacypolicy.
5.3 Responsibility for Your Content: You are solely responsible for the User Content that you post. You represent and warrant that you have all necessary rights to grant us the license above for any User Content that you submit and that your User Content does not violate any third-party rights (including copyright, trademark, privacy, or other personal or proprietary rights) or any applicable laws.
5.4 Wegrouped's Rights: We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content posted via the Services. You understand that by using the Services, you may be exposed to User Content that might be offensive, harmful, inaccurate, or otherwise inappropriate. We reserve the right to remove or modify User Content for any reason, including User Content that we believe violates these Terms, without prior notice.
5.5 No Responsibility for Outcomes: Wegrouped acts solely as a platform. We are not responsible for the accuracy, quality, safety, legality, or outcome of any Group, Proposal, or interaction initiated through User Content on the Services. Any arrangements, agreements, or transactions made between users based on User Content are solely between those users.
Section 6: Payments
6.1 Fees: Certain features of the Services, such as unlocking contact information for users who have accepted a business proposal, may require payment of fees. The applicable fees (e.g., a set price per contact) will be clearly displayed before you complete the transaction. We reserve the right to change our fees upon reasonable notice posted on the Services or otherwise communicated to you.
6.2 Payment Processing: All payments are processed through Wix Payments and its third-party payment providers. By making a payment, you agree to abide by the terms and conditions of Wix Payments and the relevant payment provider. We do not store your full credit card or financial account information.
6.3 Purpose of Payment: You acknowledge that payment grants you access to the contact information (First Name and Email Address) provided by the accepting user(s) for the sole purpose of following up on the specific proposal. Payment does not guarantee a successful transaction, response from the user, or any particular outcome related to the proposal.
6.4 Refunds: All fees paid for unlocking contacts are non-refundable, except as required by applicable law or determined by us in our sole discretion.
6.5 Taxes: You are responsible for any applicable taxes associated with your use of the paid Services.
Section 7: Intellectual Property
7.1 Our Intellectual Property: The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content belonging to other Users (the "Wegrouped Content"), and all Intellectual Property Rights related thereto, are the exclusive property of Wegrouped and its licensors (except for User Content submitted by you, which you retain ownership of as described in Section 5). Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.
7.2 Your User Content: As stated in Section 5, you retain ownership of your User Content, but grant us a license to use it in connection with the Services.
Section 8: Disclaimers
8.1 "As Is" Service: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8.2 User Interactions: WEGROUPED ACTS SOLELY AS A PLATFORM TO CONNECT USERS. WE ARE NOT INVOLVED IN, NOR DO WE ASSUME ANY RESPONSIBILITY FOR, ANY AGREEMENTS, TRANSACTIONS, DISPUTES, OR INTERACTIONS BETWEEN USERS, WHETHER FACILITATED THROUGH GROUPS, PROPOSALS, OR OTHERWISE. WE DO NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR OUTCOME OF ANY GROUP PURCHASE, PROPOSAL, OR DEAL.
8.3 User Content: WE DO NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR THE ACCURACY, RELIABILITY, OR LEGALITY OF ANY USER CONTENT POSTED ON THE SERVICES. YOU RELY ON ANY USER CONTENT AT YOUR OWN RISK.
8.4 No Endorsement: WEGROUPED DOES NOT ENDORSE, VET, OR GUARANTEE ANY USER (INCLUDING BUSINESSES) OR THEIR OFFERS. ANY VERIFICATION PROCESSES WE MAY IMPLEMENT ARE LIMITED, AND YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN DUE DILIGENCE WHEN INTERACTING WITH OTHER USERS OR ENTERING INTO AGREEMENTS.
Section 9: Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEGROUPED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF WEGROUPED EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID WEGROUPED, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
Section 10: Termination
10.1 Termination by You: You may stop using our Services at any time. You can also request the deletion of your account by contacting us at support@wegrouped.com. Please refer to our Privacy Policy www.wegrouped.com/privacypolicy for information on data retention after account deletion.
10.2 Termination by Wegrouped: We reserve the right to suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, with or without notice, in our sole discretion. Reasons for termination may include, but are not limited to, a breach of these Terms, prolonged inactivity, or actions that may cause harm to Wegrouped, other users, or third parties.
10.3 Effect of Termination: Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Section 11: Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the state and federal courts located in Hunterdon County, New Jersey for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.
Section 12: Indemnification
You agree to defend, indemnify, and hold harmless Wegrouped and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the Services, (b) your User Content, or (c) your violation of these Terms.
Section 13: Changes to Terms
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect (for example, by posting a notice on the Services or sending an email to registered users). What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services. We encourage you to review these Terms periodically for any changes.
